Seal Terms of Use

These Terms of Use ("Terms") are a contract between you and New Eden Research, Inc., a Delaware corporation located at 2810 North Church Street, STE 90398, Wilmington, DE 19802 ("New Eden Research," "we," "us," "our").
They govern your use of the Seal mobile application and the website at heyseal.ai (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy is incorporated into these Terms by reference.
1. Who may use Seal
You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
You may not use the Service if you are barred from doing so under applicable law, including if you are located in a country subject to a U.S. Government embargo or are listed on any U.S. Government list of prohibited or restricted parties.
2. Your account
You are responsible for the security of your account and for everything that happens under it. Provide accurate information, keep your credentials secure, and notify us at security@heyseal.ai if you suspect unauthorized access.
You may not share your account, sell it, or transfer it to anyone else.
3. License to use the Service
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own purposes. On iOS, this license is granted under Apple's Usage Rules for the Apple Media Services Terms and Conditions.
You may not:
- Copy, modify, reverse engineer, decompile, or create derivative works of the Service
- Rent, lease, lend, sell, sublicense, or otherwise distribute the Service
- Access the Service by automated means, or scrape, crawl, or harvest from it
- Circumvent rate limits, access controls, or security measures
- Use the Service to build a competing product, or to train a machine learning model
4. Your Content
You own it. You retain all rights to the content you submit to the Service ("Your Content"). We claim no ownership of it.
What you let us do with it. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, reproduce, and process Your Content, but solely to operate and provide the Service to you. This license ends when you delete Your Content or your account, except for copies retained in backups until they cycle out on our normal rotation.
We do not train on it. We do not use Your Content to train AI models, and our AI providers are contractually prohibited from doing so. See Section 3 of our Privacy Policy.
You are responsible for it. You represent that you have the rights necessary to submit Your Content and that it does not infringe anyone's rights or violate any law. Do not submit content you are not permitted to share.
5. AI-generated output: read this
Seal uses artificial intelligence to generate responses. You need to understand what that means:
- Output can be wrong. AI models produce plausible-sounding text that may be inaccurate, incomplete, outdated, or entirely fabricated. This is a known limitation of the technology, not a malfunction.
- Verify before you rely on it. You are solely responsible for evaluating output before acting on it, and for any consequences of acting on it.
- It is not professional advice. Output does not constitute legal, medical, financial, tax, or other professional advice. Consult a qualified professional for those.
- Output is not unique. Other users may receive similar or identical responses to similar prompts. We make no representation that output is original or that you hold any rights in it.
- We do not endorse it. Output does not represent our views.
5A. Actions Seal takes on your behalf
Seal can be configured to act autonomously: to run on a schedule, respond to events, use tools, and communicate through channels you connect. Understand what you are authorizing:
- You are responsible for what your Seal does. Actions it takes under your configuration are treated as your actions, including messages it sends, services it calls, and payments it makes.
- Autonomous means unsupervised. Once you schedule or trigger a workflow it may run without you watching. Review what you configure before you enable it.
- Spending is real. An autonomous workflow that calls paid services will spend from your wallet without asking again. Set limits you are comfortable with, and fund the wallet accordingly.
- Third-party channels have their own rules. If you connect Seal to an external service, you remain bound by that service's terms, and a violation there is your responsibility.
- You may not configure Seal to send unsolicited bulk messages, impersonate anyone, evade a platform's rate limits or access controls, or take actions you could not lawfully take yourself.
6. Acceptable use
You may not use the Service to:
- Break the law, or encourage or help anyone else to
- Infringe intellectual property, privacy, or publicity rights
- Harass, threaten, defame, or harm anyone
- Generate or distribute sexual content involving minors, or content that sexualizes minors in any way
- Create malware, exploits, or tools for unauthorized access to systems
- Generate content designed to deceive: impersonation, fraud, disinformation, or fabricated records presented as genuine
- Attempt to extract our prompts, models, or underlying systems
- Interfere with the Service's operation or place unreasonable load on our infrastructure
- Submit personal information about other people without their permission
We may suspend or terminate accounts that violate this section, and we may report unlawful activity to authorities.
7. Payments, wallet, and crypto risks
Seal is priced per request and settled in USDC from a non-custodial wallet that you control.
How it works. You fund your wallet. Each request you make draws against that balance at the rate disclosed at the time of the request. We publish current rates and will give notice before increasing them.
We are not a custodian. Your wallet is provisioned through Privy's embedded wallet infrastructure, which splits your private key so that no single party holds a usable copy. We do not hold, control, or have access to your keys or your funds. We cannot move them, freeze them, or recover them.
Your access depends on your sign-in. Because your wallet is tied to your authentication, losing access to the email address or passkey you sign in with can mean losing access to your wallet. Keep your sign-in method secure and recoverable.
You must understand these risks before funding a wallet:
- Transactions are irreversible. Once a payment settles on-chain, it cannot be reversed, cancelled, or charged back, not by us, not by you, not by anyone. There is no dispute process.
- Losing your keys means losing your funds. If you lose your private key or seed phrase, your funds are permanently inaccessible. We cannot restore them. No support request can fix this.
- Your transaction history is public and permanent. See Section 5 of our Privacy Policy.
- Stablecoins are not risk-free. USDC is intended to hold a stable value but is not guaranteed to. It is not a bank deposit, is not FDIC-insured, and carries issuer and counterparty risk.
- Network fees and congestion. Blockchain transactions may incur fees and may fail or be delayed for reasons outside our control.
- Regulatory change. Laws governing digital assets are unsettled and may change in ways that affect the availability of this payment method.
Refunds. Amounts remaining in your wallet are yours and stay under your control. Requests already served are not refundable, since the underlying compute has been consumed.
Where you obtain USDC is between you and whatever exchange or service you use. We are not a party to that, and we do not operate an exchange or provide money transmission services.
8. Changes to the Service
We are an early-stage company and the Service will change. We may add, modify, or remove features, and may suspend or discontinue the Service entirely. If we discontinue the Service, we will make reasonable efforts to give you notice and an opportunity to export Your Content.
9. Termination
You may stop using the Service and delete your account at any time from within the app.
We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if continuing to provide the Service to you creates risk or legal exposure for us. Where practical, we will give you notice.
Sections 4, 5, and 10 through 14 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEW EDEN RESEARCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless New Eden Research and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
14. Apple-specific terms
These terms apply to the Seal iOS application and are required by Apple:
- These Terms are between you and New Eden Research only, not with Apple. New Eden Research, not Apple, is solely responsible for the Service and its content.
- Your license to use the app is limited to a non-transferable license to use it on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- New Eden Research, not Apple, is responsible for addressing any claims relating to the app, including product liability, failure to conform to legal or regulatory requirements, and consumer protection claims.
- New Eden Research, not Apple, is responsible for investigating and defending any third-party claim that the app infringes intellectual property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.

15. General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
Severability. If any provision is found unenforceable, the rest remains in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
Changes. We may update these Terms. For material changes we will give notice by email or in-app at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
